ARTICLE I: NAME
Section 1.: The organization shall be known as Schererville
Soccer Club Incorporated, (hereinafter referred to as the "Club"),
and shall be affiliated with the Soccer Association for Youth (SAY),
the U.S. Soccer Youth Association, and the Northwest Indiana Soccer
Association (NWISL).
ARTICLE II: PURPOSE
Section 1: To provide for the boys and girls of the
Town of Schererville and the immediate surrounding communities of
Lake County, Indiana, a quality soccer program to promote the growth
of, and appreciation for, the game of soccer in Indiana. It is the
goal of the Club to provide an opportunity to youth of all skills
and abilities beginning at the age of 4 with the opportunity to
learn the Laws of the Game and to participate in an organized program
of soccer training and recreation.
Section 2: To develop and encourage a philosophy and
practice of good sportsmanship among its members and players through
the appropriate assistance, instruction, and training of soccer
players, coaches, and referees in the development and improvement
of their capabilities.
Section 3: To receive and administer funds, gifts,
bequests, and devices from any person, firm, or corporation in carrying
out said soccer program.
Section 4: The purposes for which this Club has been
organized are exclusively those set forth in Section 501 (c) (3)
of the Internal Revenue Code of 1954.
Section 5: To do any and all other acts necessary
or desirable in the furtherance of the foregoing purposes and for
the good and promotion of Youth soccer.
ARTICLE III: POWERS
Section 1: This organization shall have the following
powers in addition to the powers expressly or implicitly conferred
on it by law. Namely, to make and enforce rules and regulations
for the benefit of the Club or as promulgated by the Soccer Association
for Youth, USA, and the Northwest Indiana Soccer Association, and
the US Soccer Youth Association to which this organization is subject.
Also, to enter into contracts and to hold and/or own property.
ARTICLE IV: SCOPE
Section 1: The program will be open to any boy and
girl living within the Town of Schererville or any surrounding community
of Lake County, Indiana, having reached the age of four (4) years
before the beginning of each playing season..
Section 2: Seasons shall consist of both a "Fall"
and "Spring" Soccer Season beginning any time after July
31st, and March 31st respectively, or as established by the Board
of Directors.
Section 3: To insure the quality of our club, coaches
training, manuals, and other publications will be made available
to all coaches for their development. Coaches will be encouraged
to use such materials and participate in Club-sponsored training
and clinics.
ARTICLE V: MEMBERSHIP
Section 1: Members are defined as any parent or legal
guardian who has a child registered in this soccer program, and
any coach, assistant coach, or board member regardless of whether
they have a child in this program. The privilege of membership is
the entitlement of one vote in the election of the board of directors
of this Club.
ARTICLE VI: GOVERNING BODY
Section 1: The governing body of the Club shall be
its Board of Directors. Said Board of Directors shall be comprised
of the following:

2. Vice President
3. Secretary
4. Treasurer
5. Commissioners
6. Director of Fields and Equipment
7. Director of Referees
8. Director/s of Coaches and Training
9. NWISL Representative
10. Director of Sponsors
11. Director of Concessions
12. Director of Uniforms and Pictures
13. Other "At-Large" Directors
Section 2: Those Board of Director positions known
as President, Vice-President, Secretary, and Treasurer shall be
further defined as the "Officers" of the Club.
Section 3: Said Board may adopt such rules and regulations
for the conduct of its meetings and the management of the organization
as it may deem proper but may not be in conflict with the rules
and regulations of the Soccer Association for Youth, USA, the Northwest
Indiana Soccer Association, and the US Youth Soccer Association.
Section 4: No two members of the same family shall
be members of the Board at the same time nor may any one member
hold more than one Board position at the same time.
Section 5: Any vacancies which occur or develop, for
whatever reason, in one of the Board positions shall be appointed
by the Board from the Club membership.
Section 6: The immediate past President may sit on
the Board as an advisor in a non-voting capacity.
Section 7: The Board of Directors shall bond its members
as deemed necessary. Bonding fees will be paid by the Club.
Section 8: All members of the Board of Directors shall
have the right to vote by proxy or by formally executed written
correspondence, received by the Club Secretary on or before the
date and time of any vote, on any Club matter.
ARTICLE VII: ELECTIONS
Section 1: The election of the Board of Directors
shall be by the membership, and shall be conducted at a meeting
called by the presiding Board of Directors.
Section 2: The Board of Directors shall appoint a
nominating committee by November 15 of the current year. The membership
shall be advised of the appointment of the nominating committee
and the date of the election. The committee will be requested to
recommend potential candidates for the Board of Director's positions.
The nominating committee shall then present the names of the recommended
candidates to the Secretary for the printing of ballots.
Section 3: Elections will be held at the last meeting
of each fiscal year. Candidates receiving a simple majority, as
tabulated from the voting ballots, shall take office at the conclusion
of the election meeting.
Section 4: In addition to nominations formally recognized
on said ballot forms, prepared by the Secretary, nominations from
the floor will also be accepted and included for voting consideration
on the designated date and at the place voting is held.
Section 5: Formal counting and auditing of all Ballot
results shall be conducted by the current President and at least
one other current Board Member but must be conducted in an open
forum whose attendance is known and available to Club members.
Section 6: The Office of President, other Officer-positions
of the Club and all Board of Director's positions will be determined
by the mutual consensus of those members nominated and elected to
be the Board of Directors.
ARTICLE VIII: MEETINGS
Section 1: The Board of Directors shall hold a minimum
of six (6) meetings per year.
Section 2: All meetings shall be conducted in accordance
with "Robert's Rules of Order" as revised and published
by Dr. Darwin Patnode and as copyrighted by The Berkley Publishing
Group of New York in 1989.
ARTICLE IX: LENGTH OF SERVICE
Section 1: The maximum length of service of the Board
of Directors shall vary by position in a manner established in the
Bylaws of the Club to ensure continuity and consistency with the
purposes and philosophies of the Club.
Section 2: No Officer of the Club may exceed a maximum
of two (2) consecutive one-year terms in the same position.
ARTICLE X: REMOVAL
Section 1: Any Board member may be removed at any
time with or without cause at a regular member's meeting or at a
special member's meeting called for such purpose. Removal will be
subject to due process by the affirmative vote of a simple majority
of the membership present at such meeting. Removal shall also be
conducted pursuant to any by-laws or amendments as adopted by the
Club.
ARTICLE XI: AMENDMENTS
Section 1: This constitution my be amended by a simple
majority vote of the Board of Directors. Any proposed amendments
must be presented for discussion during a regularly scheduled and
publicly listed Club meeting at which a quorum of the Board of Directors
is present and as can be officially included in the minutes of same
meeting. Such amendments, after recommendation for adoption, shall
be presented to the Board of Directors for formal vote at the date
and time of the next regularly scheduled Board meeting. Voting shall
be conducted by a simple show of hands.
ARTICLE XII: FINANCIAL AUDIT
Section 1: An audit of the financial records of the
Schererville Soccer Club including all bank statements, income,
and expenses shall be conducted on at least an annual basis by a
committee consisting of the current Vice-President of the Club and
one outside independent source with the full cooperation of the
Club Treasurer.
ARTICLE XIII: BY - LAWS
Section 1: The Board of Directors shall have the authority
to formulate and adopt by-laws for the regulation of internal affairs
of the Club and for the dealings of the Club with other parties
as it deems necessary in the normal course of its business or for
any other purpose deemed to be in the best interest of the Club.
ARTICLE XIV: ASSETS OF THE CLUB UPON DISSOLUTION
Section 1: Upon dissolution or termination of the
Club, the Board of Directors shall, after paying or making provision
for the payment of all the liabilities of the Club, dispose of all
the assets of the Club exclusively for the purposes of the Club
in such manner, or to such organization or organizations organized
and operated exclusively for charitable, educational, religious
or scientific purposes as shall at that time qualify as an exempt
organization or organizations under Section 501(c)(3) of the Internal
Revenue Code of 1954, or the corresponding provision of any future
United States Internal Revenue Law, as the Board of Directors shall
determine. Any such assets not so disposed of, shall be disposed
of by a Court of competent jurisdiction in the county where the
principal office of the corporation is then located, exclusively
for such purposes or to such organization or organizations, as said
court shall determine, which are organized and operated exclusively
for such purposes.
ARTICLE XV: ACTIVITIES
Section 1: Notwithstanding any other provisions of
these articles, the Club shall not carry on any other activities
not permitted to be carried on (a) by a Club or Association exempt
from Federal Income Tax under section 501 © (3) of the Internal
Revenue Code of 1954 (or the corresponding provision of any future
United States Internal Revenue Law) or (b) by a Club or Association,
contributions to which are deductible under section 170 ©(2)
of the Internal Revenue Code of 1954 (or the corresponding provision
of any future United States Internal Revenue Law).
FIRST AMENDMENT
This first amendment to the Constitution of the Schererville
Soccer Club, Inc as revised and adopted as of December 12, 1998
hereby modifies ARTICLE VII, Section 3, regarding the election of
officers. By formal motion and unanimous vote at the regularly scheduled
Club meeting of August 12, 1999 the election of officers will no
longer be held at the last meeting of each fiscal year. Effective
October 14, 1999 the election of officers will henceforth occur
at the regularly scheduled Club meeting held in October of each
calendar year.
AMENDMENT - ARTICLE IV: SCOPE, SECTION 1 AND 2
This amendment to the Constitution of the Schererville Soccer
Club, Inc as revised and adopted as of December 12, 1998 hereby
modifies ARTICLE IV, Section 1 and Section 2, minimum player age
and seasons. By formal motion and majority vote at the regularly
scheduled Club meeting of February 13, 2003 the following sections
have been modified from:
Section 1: The program will be open to any boy and girl living
within the Town of Schererville or any surrounding community of
Lake County, Indiana, having reached the age of four (4) years
before the beginning of each playing season.
To read as follows:
Section 1: The program will be open to any boy and girl living
within the Town of Schererville or any surrounding community of
Lake County, Indiana, having reached the age of four (4) years
before the beginning of an outdoor playing season or six (6) years
before the beginning of an indoor playing season.
And:
Section 2: Seasons shall consist of both a “Fall” and “Spring” Soccer
Season beginning any time after July 31st, and March 31st respectively,
or as established by the Board of Directors.
To read as follows:
Section 2: Seasons shall consist of a “Fall”, “Spring” and “Indoor” Soccer
Season beginning any time after July 31st, March 31st and October
31st respectively, or as established by the Board of Directors.
AMENDMENT – ARTICLE VI: GOVERNING BODY,
SECTION 4
This amendment to the Constitution of the Schererville Soccer
Club, Inc as revised and adopted as of December 12, 1998 hereby
modifies ARTICLE VI, Section 4, regarding members of the same family.
By formal motion and majority vote at the regularly scheduled Club
meeting of September 11, 2003 Section 4 has been modified from:
Section 4: No two members of the same family shall be members
of the Board at the same time nor may any one member hold more
than one Board position at the same time.
To read as follows:
Section 4: No two members of the same family shall be members
of the Executive Board at the same time nor may any one member
hold more than one Board position at the same time.
AMENDMENT - ARTICLE VI: GOVERNING BODY
This amendment to the Constitution of the Schererville Soccer
Club, Inc as revised and adopted as of December 12, 1998 hereby
modifies ARTICLE VI, Section 6, regarding a Presidents options
following their term of office. By formal motion and majority vote
via electronic mail and ratified at the following regularly scheduled
Club meeting of October 9, 2003, Section 6 has been modified from:
Section 6: The immediate past President may sit on the Board as
an advisor in a non-voting capacity.
To read as follows:
Section 6: The immediate past President may sit on the Board as
an advisor in a non-voting capacity or in any other non-executive
board position.
Advisor is a special position that can only be taken by the immediate
past President. Part of the duties as President is to pass on knowledge
to the new board. If the immediate past President sits on the board
in an advisory capacity then he/she would not have a vote. However,
they would accrue points toward coaching selection. If that person
sits in any other board position other than Advisor then they shall
have all of the rights associated with that position.
